Sebastian L. Tesorero
Mr. Tesorero assists on M&A, investment, capital markets and restructuring transactions handled by the Firm.
During his first year with the Firm, he already advised on a number of significant transactions, including the successful privatization of a publicly-listed company. Utilizing his background and perspective as a CPA, Mr. Tesorero is a key member in designing the shareholder structure, which not only allowed the company to privatize but also reduce friction costs.
He was also part of the team that assisted the country's premiere banking industry association and its various member-banks in the disposition of their shares in the country's sole fixed income exchange. He assisted in the documentation of the transaction as well as the coordination and management of the contractual and regulatory requirements for closing.
Mr. Tesorero also regularly advises on tax matters, corporate governance, compliance, competition law, and other legal requirements of clients in the banking, finance, and real estate sectors, among others. Ever a team player, he is also a frequent resource of the Firm on matters relating to securities, tax planning, and financial reporting. He handles applications, filings, reports before the Bureau of Internal Revenue, the Securities and Exchange Commission, the Philippine Competition Commission and the Banko Sentral ng Pilipinas. He also manages the requirements of publicly-listed companies with the PSE.
Mr. Tesorero is a Certified Public Accountant. He was admitted to the Bar in December 2023.
